CRM Subscription Agreement
Effective August 24, 20261. Agreement and authority
This ConnektMe CRM Subscription Agreement (the Agreement) is between ConnektMe LLC (ConnektMe) and the person or business purchasing the ConnektMe CRM Operations package (Client). By checking the acceptance box and completing checkout, Client confirms that it has read this Agreement, is legally able to enter it, and, if acting for a business, has authority to bind that business. The service is offered for business use only.
2. Operations service
ConnektMe will provide access to its hosted CRM Operations workspace, including the features identified at checkout, onboarding, and ordinary product support. The Operations package does not include advertising management, guaranteed lead delivery, or custom development unless separately agreed in writing. Features may be improved, replaced, or discontinued when the overall material functionality of the service is not substantially reduced. Third-party services and integrations may be subject to their own terms and availability.
3. Fees and recurring authorization
Client authorizes an initial charge of $225, consisting of a $75 one-time setup fee and the first $150 monthly subscription fee. After the first month, Client authorizes ConnektMe, through Square, to charge the payment method on file $150 each month until canceled. Applicable taxes may be added. Client must maintain a valid payment method and promptly update billing information. Failed or reversed payments may result in suspension of access.
4. Cancellation
The subscription is month-to-month. Client may cancel before the next billing date by emailing info@connektme.io from the account email. Cancellation stops future renewals and becomes effective at the end of the then-current paid billing period. Client remains responsible for charges incurred before cancellation. Canceling does not create a refund or prorated credit for the current period.
5. Final sale and no-refund policy
All setup fees, subscription fees, and other authorized charges are final and non-refundable once processed, including for partial billing periods, unused access, failure to use the service, buyer's remorse, results that differ from Client's expectations, or onboarding delays caused by Client. ConnektMe does not provide prorated refunds or credits. This section does not limit any refund right that cannot lawfully be excluded.
6. Payment disputes and chargebacks
Client agrees to contact info@connektme.io before initiating a payment dispute and to allow ConnektMe ten business days to investigate and respond. Client must not initiate a chargeback for a valid, authorized charge based solely on non-use, dissatisfaction, cancellation after a renewal, or disagreement with this disclosed no-refund policy. An improper chargeback is a material breach. If a disputed charge is determined to be valid or the dispute is resolved in ConnektMe's favor, the unpaid amount remains due and ConnektMe may suspend or terminate access and recover reasonable dispute, collection, and legal costs to the extent permitted by law. Nothing in this Agreement removes rights concerning genuinely unauthorized or fraudulent charges or rights that applicable law or card-network rules do not permit Client to waive.
7. Client responsibilities and compliance
Client is responsible for its users, data, campaigns, communications, and use of the service. Client must obtain all legally required consents and comply with privacy, telemarketing, do-not-call, messaging, advertising, insurance, and consumer-protection laws, including rules applicable to calls and text messages. Client may not use the service unlawfully, transmit malicious content, interfere with the platform, or access data outside its authorized workspace. Client is responsible for account security and must promptly report suspected unauthorized access.
8. Client data and confidentiality
As between the parties, Client retains ownership of Client data. Client grants ConnektMe a limited license to host, process, transmit, and display that data as needed to provide, secure, support, and improve the service. Each party will use reasonable care to protect the other party's confidential information. Client should retain its own exports and records; the service is not a substitute for Client's independent backup or record-retention duties.
9. Intellectual property
ConnektMe and its licensors retain all rights in the platform, software, designs, documentation, workflows, methods, and related intellectual property. The subscription grants Client a limited, non-exclusive, non-transferable right to use the service during the paid term. Client may not copy, resell, reverse engineer, sublicense, or commercially exploit the service except as expressly authorized in writing.
10. Availability and third-party services
ConnektMe will use commercially reasonable efforts to keep the service available but does not guarantee uninterrupted or error-free operation. Maintenance, internet failures, provider outages, platform changes, force majeure events, and third-party restrictions may affect availability. ConnektMe is not responsible for failures caused by Client systems or third-party products outside ConnektMe's reasonable control.
11. No performance guarantee
The service is a business operations tool. ConnektMe does not guarantee leads, appointments, sales, policy placement, revenue, profit, advertising performance, or any particular business outcome. Client remains responsible for its sales, marketing, compliance, staffing, and business decisions.
12. Disclaimers and limitation of liability
To the maximum extent permitted by law, the service is provided "as is" and "as available," and ConnektMe disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill. ConnektMe's aggregate liability arising from this Agreement will not exceed the subscription fees Client paid to ConnektMe during the three months immediately before the event giving rise to the claim. These limitations apply only to the extent permitted by law.
13. Indemnification
Client will defend, indemnify, and hold harmless ConnektMe and its personnel from third-party claims, damages, penalties, and reasonable costs arising from Client's data, communications, campaigns, violation of law, breach of this Agreement, or misuse of the service, except to the extent caused by ConnektMe's gross negligence or willful misconduct.
14. Suspension and termination
ConnektMe may suspend or terminate access for nonpayment, an improper chargeback, security risk, unlawful use, material breach, or conduct that risks harm to the service or others. Client obligations concerning payment, confidentiality, intellectual property, indemnification, disclaimers, liability, and disputes survive termination.
15. Governing law and disputes
This Agreement is governed by Arizona law, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve a dispute through written notice and informal discussion for at least thirty days. Any unresolved action must be brought in the state or federal courts located in Maricopa County, Arizona, except that either party may use an eligible small-claims court or seek urgent injunctive relief.
16. General terms and electronic acceptance
This Agreement and the checkout disclosures are the entire agreement for the Operations subscription and supersede prior discussions about that service. Amendments must be in writing, except ConnektMe may update prospective terms with legally sufficient notice. If a provision is unenforceable, the remaining provisions remain effective. Client may not assign this Agreement without written consent. Electronic acceptance, records, and signatures have the same effect as paper originals. Notices to ConnektMe must be sent to info@connektme.io.
